Preliminary agreements – inaction of the developer

The law firm’s client entered into a preliminary agreement with the developer, in which the latter undertook to sell the commercial premises and fulfill a number of other obligations including, among other things, obtaining the consent of the other owners of the premises to conduct commercial activities in the premises and to sell the premises.

The agreement was concluded in the form of a notarial deed. Despite repeated reminders, the developer has not proceeded with the promised agreement. The law firm undertook the case on behalf of the client

court for an obligation to make a statement of intent on the basis of an article 390 par. 2 KC in conjunction with article 64 of the Civil Code.
